Terms of Service

These Terms govern the relationship between Dmitry Grigoriev, sole proprietor doing business as “Marketing Engineering Studio” (hereafter — the “Studio,” “we”), and the client (hereafter — the “Client,” “you”).

1. Scope of services

The Studio provides:

SEO Audit on an engineering stack (see /en/services/seo-audit/)
SEO Implementation and Migration (see /en/services/seo-implementation/)
Google Ads and Meta Ads management (retainer)
AI assistants on the Takli platform (WhatsApp / voice / CRM integrations)
Related services — tracking foundation, schema implementation, GA4 setup

The specific scope of each project is described in a separate Service Order (SO), signed before work begins.

2. Contract formation

A contract is formed at the moment of:

For audit (₪1,490): payment of the invoice
For implementation: signing of the Service Order and payment of the first tranche (typically 50%)
For retainer: signing of the monthly contract and payment of the first month

3. Payments

3.1. Pricing

Current pricing is on the site:

SEO audit: ₪1,490 (including VAT if applicable)
Implementation: from USD 2,500
Google Ads retainer: from USD 600/mo
Meta Ads retainer: from USD 600/mo

3.2. Payment methods

Bank transfer (Israeli IBAN or SWIFT)
Stripe / Cardcom (for credit card)
Reserved option — Tranzila for Israeli credit cards

3.3. Payment terms

Audit: 100% before work starts
Implementation: 50% upfront + 50% at delivery
Retainer: monthly in advance

Late payment > 7 days — work suspension. Late payment > 30 days — contract termination.

4. Refund policy

4.1. Audit — refund guarantee

If within 48 hours we don’t find at least 5 critical issues affecting Client revenue — we refund 100% of the audit fee (₪1,490). A “critical issue” is defined as a specific technical or content factor with measurable revenue impact.

Refund is processed within 14 days of an official request via the same payment channel.

4.2. Implementation

Refund pro-rated by completed milestones. If the project is stopped by the Client — refund for unfinished milestones, no penalties. If by us due to inability to perform — full refund for unspent hours.

4.3. Retainer

Minimum term — 3 months. After 3 months — termination with 30-day notice. Refund for the remainder of the current month — pro-rated.

5. Intellectual Property

5.1. Deliverables to Client

The Client receives full rights to:

PDF reports (technical + client proposal)
Recommendations
Custom code written specifically for Client’s project (Astro pages, configurations, scripts)
Campaign and analytics data

5.2. Reserved by Studio

The Studio retains rights to:

Methodology (7-phase process)
CLI stack and custom commands (general, not Client-specific code)
The Takli platform (Client receives SaaS license, not ownership)
Knowledge and experience gained during the project (for future clients)

5.3. Confidentiality

All Client data (including GSC/GA4/Ads access, business metrics, customer data) is processed confidentially. NDA signed on request. Default confidentiality applies to all engagements.

6. Liability cap

The Studio’s maximum liability for any losses related to service provision is the amount paid by the Client in the last 12 months (or total project amount if the project is less than 12 months).

Exceptions: intentional harm or gross negligence — liability is unlimited.

7. Force majeure

The Studio is not liable for delays or non-performance due to circumstances that could not have been prevented by reasonable measures (war, mass DDoS on Cloudflare, governmental restrictions).

8. Dispute resolution

8.1. Negotiation

Before filing a lawsuit, the parties commit to attempting to resolve the dispute through negotiation within 30 days.

8.2. Jurisdiction

Disputes are governed by the laws of the State of Israel. Jurisdiction — courts of Tel Aviv-Yafo.

9. Modifications

These Terms may be updated. Material changes — email notice to active Clients at least 30 days before effective date.
